Terms of Service

// 1. Agreement

These Terms of Service govern your use of Tapeboard, a market-data terminal and scanner operated by Tapeboard LLC, a Delaware limited liability company ("Tapeboard," "we," "us"). By creating an account or using the service you agree to these terms. If you do not agree, do not use the service.

These terms incorporate the Privacy Policy, the Disclaimer, and the Data Disclosures by reference.

// 2. Eligibility and accounts

You must be at least 18 years old to create an account. You will provide accurate information, keep your credentials confidential, and are responsible for activity on your account. One person, one account. We may suspend or terminate accounts that violate these terms, abuse the service, or are linked to fraud.

// 3. Acceptable use

You will not:

  • Scrape, mirror, redistribute, or resell market data, news, or any third-party content surfaced through Tapeboard.
  • Reverse-engineer the service or attempt to extract the underlying source code or models.
  • Use the service to build a competing product or to train machine-learning models on Tapeboard output.
  • Probe, attack, or stress the infrastructure, including automated requests beyond documented rate limits.
  • Share account credentials or operate the service on behalf of multiple users under one seat.
  • Use the service to violate any law, exchange rule, or third-party data-vendor agreement.

// 4. Subscription, billing, and cancellation

Paid plans are billed in advance through our payment processor on a recurring monthly or annual cycle at the price displayed at checkout. Prices are in US dollars and exclude applicable taxes. By subscribing you authorize recurring charges until you cancel.

You can cancel any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial months. Annual plans are non-refundable after the first 7 days.

If a payment fails we will retry. If we cannot collect after 14 days the account is downgraded to the free tier and paid features become unavailable.

// 5. Plan changes and downgrades

Upgrades take effect immediately and are pro-rated against the remaining billing period. Downgrades take effect at the end of the current billing period. On downgrade you may lose access to saved scanner presets, alerts, or data history that exceed the lower tier's limits; we will not delete this data for 30 days, giving you time to export it.

// 6. Free trials and free tier

Free trials, when offered, convert to a paid subscription at the listed price unless cancelled before the trial ends. The free tier has no time limit but is rate-limited and excludes paid features. We may change free-tier limits with reasonable notice.

// 7. Intellectual property

Tapeboard and its software, design, scanner logic, and original content are owned by Tapeboard LLC. You receive a limited, non-exclusive, non-transferable license to use the service for your personal or internal business use during an active subscription. No other rights are granted.

Market data, news, fundamentals, and economic series displayed in Tapeboard are licensed from third parties. See Data Disclosures for sources and attribution. You receive only the right to view this data inside the Tapeboard interface; you may not export it for redistribution.

// 8. Third-party services

Tapeboard relies on third-party providers to function, including providers for payment processing, hosting and edge network, real-time US equity market data, overnight prices, news and fundamentals, economic data, analyst data, extended-hours quotes, and government filing systems. These providers have their own terms and uptime profiles. Tapeboard is not responsible for failures, errors, or outages originating with these providers.

// 9. Disclaimer of warranties

The service is provided "as is" and "as available." Tapeboard disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. Market data may be delayed, incomplete, or wrong. The scanner, alerts, and any AI-generated summaries are tools, not advice. See Disclaimer for the full statement on the informational nature of this product.

// 10. Limitation of liability

To the maximum extent permitted by law, Tapeboard's total cumulative liability for any claim arising out of or relating to the service is limited to the fees you paid Tapeboard in the 12 months before the event giving rise to the claim. Tapeboard will not be liable for lost profits, lost trading opportunities, lost data, or any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.

Some jurisdictions do not allow these limitations. Where they do not apply, our liability is limited to the smallest amount permitted by law.

// 11. Indemnification

You will indemnify and hold harmless Tapeboard LLC, its members, and its employees from any claim arising out of your misuse of the service, your violation of these terms, or your violation of any law or third-party right.

// 12. Arbitration and class-action waiver

Any dispute between you and Tapeboard arising out of or relating to the service or these terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The seat of arbitration is Wilmington, Delaware. You and Tapeboard each waive the right to a jury trial and the right to participate in a class, collective, or representative action.

You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these terms with the subject line "Arbitration Opt-Out" and your account email.

Either party may bring claims in small-claims court for disputes within that court's jurisdiction. Claims for injunctive relief related to intellectual property may be brought in court.

// 13. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. For matters not subject to arbitration, the exclusive venue is the state and federal courts in New Castle County, Delaware.

// 14. Termination

You may stop using the service and cancel at any time. Tapeboard may suspend or terminate your account for breach of these terms, non-payment, or risk to the platform or other users. On termination your license ends and access stops. Sections that by their nature should survive termination will survive, including IP, disclaimers, liability limits, indemnity, arbitration, and governing law.

// 15. Data retention after termination

After cancellation or termination we retain account data for 90 days so you can reactivate, then delete it. Billing records are retained for 7 years to meet US tax and accounting requirements. See the Privacy Policy for full retention periods.

// 16. Changes to these terms

We may update these terms. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date is acceptance of the updated terms. The current version is always at tapeboard.com/terms.
